End-User License Agreement

    This End-User License Agreement ("Agreement") governs the use of the internal software tool operated by Lucent CFO ("we," "us," or "our") that integrates with Intuit QuickBooks Online (the "Software"). By authorizing or using the Software, you ("you" or the "Client") agree to these terms.

    1. License

    We grant you a limited, non-exclusive, non-transferable right to use the Software solely in connection with the accounting, bookkeeping, and advisory services we provide to you. The Software is a private tool operated by Lucent CFO and is not sold or distributed to you.

    2. Purpose and Use

    The Software connects to your QuickBooks Online company file, with your authorization, to retrieve financial data so that we can prepare reports and provide services on your behalf. You authorize this access when you connect your company file through Intuit's authorization process.

    3. Your Responsibilities

    You are responsible for the accuracy of the data in your QuickBooks account and for maintaining the security of your own QuickBooks login. You may revoke the Software's access at any time through your QuickBooks account settings.

    4. Data

    Our handling of your data is described in our Privacy Policy. We access your financial data only to provide services to you.

    5. Intellectual Property

    The Software and all related materials remain the property of Lucent CFO. You may not copy, modify, reverse-engineer, resell, or distribute the Software.

    6. Disclaimers

    The Software is provided "as is." While we take care to provide accurate financial information, the Software relies on data from your QuickBooks account and Intuit's API, and we do not warrant that it will be error-free or uninterrupted. The Software does not replace professional judgment; financial reports should be reviewed in the context of our engagement.

    7. Limitation of Liability

    To the maximum extent permitted by law, Lucent CFO will not be liable for indirect, incidental, or consequential damages arising from your use of the Software. Our total liability is limited to the fees paid for the related services.

    8. Termination

    Either party may terminate access to the Software at any time. Upon termination, the Software will no longer access your QuickBooks data.

    9. Governing Law

    This Agreement is governed by the laws of the State of Oklahoma, without regard to conflict-of-law principles.
